Business Unusual Terms and Conditions

Terms

By applying to the Business Unusual competition, you are agreeing to be bound by these terms and conditions, all applicable laws and regulations, and agree that you are responsible for compliance with any applicable local laws. If you do not agree with any of these terms, you are prohibited from using or accessing the application or any related services or information. The materials and information regarding Business Unusual  are protected by applicable copyright and trademark law.

If you are applying to the competition as a member of an organization, you are agreeing to these terms of services for that organization and promising that you have the authority to bind that organization to these terms. In that case, “you” and “your” will refer to that organization.

You may apply to the competition and access this information only if you have the power to form a contract with A-RAY.tv and RebelBase.co (our venture development platform) and are not barred under any applicable laws from doing so.

A-RAY.tv Submission Release

A. By submitting your candidacy for the competition and accepting these terms and conditions, you are entering into an agreement with A-RAY.tv.  You agree that A-RAY.tv shall have the right (but not the obligation) to cause its appropriate employee(s) and/or agent(s) to review your Material.

B. You acknowledge that there does not now exist, nor will there exist, a fiduciary relationship between you and A-RAY.tv.  You request this opportunity to present your Material to A-RAY.tv, and you make this submission, voluntarily.  You and A-RAY.tv have not yet reached agreement concerning the use of the Material and you realize and acknowledge that no obligation of any kind is assumed by, or may be implied against, A-RAY.tv unless and until a formal written contract has been signed by both you and A-RAY.tv, and then the obligations shall be only as expressed in such executed written agreement.

C. You acknowledge that these terms and conditions consist of a release covering and governs any and all of the Material, whether submitted to A-Ray.tv contemporaneously with, prior to, or following, the acceptance of these terms and conditions, and applying also to any submission of the Material made to A-RAY.tv by any other source, directly or indirectly, on your behalf.

D. You warrant that you are the sole and exclusive creator, author and owner of the Material or, if another person has been involved in the creation of the Material, you hold good and sufficient authority from that person to present and represent such Material.  You further warrant that no rights in the Material have previously been granted to anyone, nor has the Material otherwise been exploited in any way.

E. You acknowledge hereby that you cannot and will not assume, infer or surmise from the fact that A-RAY.tv receives, accepts and/or reviews your Material pursuant to this Application for the Business Unusual Competition that A-RAY.tv regards your Material, or any part of your Material, as novel, valuable or usable.  Further, you recognize that at any given time, A-RAY.tv has many submissions for projects in various stages of development and other persons may have submitted to A-RAY.tv (or to others), or made public, or may hereafter originate, submit, or make public, similar or identical material received or developed from other sources which A-RAY.tv shall have the right to use, and you acknowledge and understand that you will not be entitled to any compensation because of A-RAY.tvs use of such other similar or identical material.

F. Subject to the provisions of these Terms and Conditions, if selected for the audition, you irrevocably assign and grant to Georgetown Editing Studios, LLC (dba A-RAY.tv),  the right, license and permission to use your name and any biographical material concerning you, and to broadcast the materials you submitted, along with any videotaped interviews, meetings, events, sequences, still photographs or sound recordings of your performances, without additional compensation, in any manner or medium, throughout the world, in perpetuity. You further release Georgetown Studios, LLC, its partners, officers, directors, employees, successors and assigns from any and all claims that you have or might have by virtue of or arising out of the program, whether now known or hereafter discovered, including without limitation, any claim for defamation, slander or invasion of privacy. The results and proceeds of such taping, filming, photography and/or recording shall belong entirely to Georgetown Studios, LLC with Georgetown Studios, LLC as the author and exclusive owner thereof. You further release Georgetown Editing Studios, LLC from any and all liability from such use and publication. 

You authorize the reproduction, sale, copyright, exhibition, broadcast, electronic storage and distribution of said video, photographic and audio content  in any and all media and for promotional purposes, throughout the World and without limitation. 

G. Any controversy arising out of or in connection with these Terms and Conditions, including without limitation any claim that A-RAY.tv has used any legally protectable portion of your Material in violation of the terms hereof, shall be governed by the laws of the State of Connecticut, and the parties consent to the jurisdiction of the state and federal courts of Connecticut located in Fairfield County for the resolution of such matters.  If such a controversy arises, you agree that you shall assert such claims not later than six (6) weeks after the date on which you first learn (or reasonably should have been aware) of A-RAY.tv’s use or intended use of any legally protectable portion of the Material.  You further agree that your rights and remedies, if any, shall be limited to an action to recover money damages in an action at law, and without limitation of the foregoing, you expressly agree that you shall not seek to enjoin or restrain the production, exhibition, distribution, licensing, advertising, and/or promotion of any of A-RAY.tv’s programming, promotional or marketing plans, and/or of the subsidiary rights in connection therewith.

H. You release A-RAY.tv from any and all liability for damage to, or loss of, the Material.  You also acknowledge and agree that A-RAY.tv is not obligated to return your Material to you.  Your delivery to and request that A-RAY.tv review any Material pursuant to this Submission Release constitutes your irrevocable acceptance of the terms and conditions set forth herein, and A-RAY.tv shall have relied upon your agreement herein in considering your Material for review.  A-RAY.tv agrees to use reasonable efforts to keep all the Material confidential unless and until you are accepted as an audition candidate for the Pilot Episode of Business Unusual.

I. These Terms and Conditions constitute our entire understanding and agreement, and supersedes all prior understandings, whether written or oral.   The invalidity of any provision hereof shall not affect the remaining provisions.

J. You are executing this Submission Application voluntarily, without coercion or undue influence from any source, and do so with complete understanding of all its terms and effects, and every portion thereof.

L. As used in the Terms and Conditions, the terms “you” and “your” include and bind the undersigned and any and all legal representatives and teammates of the undersigned.  As used in this release, the terms “A-RAY.tv” and “we” includes and inures to the benefit of Georgetown Editing Studios, LLC and its successors, assigns, employees, officers, directors, licensees, and associated companies and individuals.
